$2.45 Billion Acquisition for Post Holdings, Inc.

Lewis Rice represented St. Louis-based Post Holdings, Inc. in its $2.45 billion acquisition of Michael Foods from its private equity owners Thomas H. Lee Partners and GS Capital Partners. The acquisition is Post's largest to date and included a significant number of real property assets, including plants, farmland and leased real property. Michael Foods is a distributor and processor of cheese, egg, and refrigerated potato products.

Lewis Rice Achieves Significant Tax Savings on Manufacturer’s Tax Bill

After identifying discrepancies in a manufacturer’s tax bill, Lewis Rice attorneys Apollo Carey and David Sweeney worked with local government officials to negotiate a reduction for a large manufacturing company. Apollo and David pushed to have the original tax assessment voided and to receive a revised bill before 2018 came to a close. In the end, Apollo and David achieved a very favorable result for their client: 86% in total tax savings without any fees or penalties.
