Post Holdings, Inc. is a consumer packaged foods holding company operating primarily in the center-of-the-store, refrigerated, active nutrition, and private-label food categories. Post's center-of-the-store portfolio includes family-favorite ready-to-eat cereals such as Post® Raisin Bran, Honey Bunches of Oats®, Grape-Nuts®, Pebbles™, Great Grains®, Post® Shredded Wheat, and Honeycomb®. Post's refrigerated portfolio, through its subsidiary Michael Foods, includes value-added egg products, refrigerated potato products, and cheese and other dairy cases products. Post's active nutrition platform aids consumers in adopting healthier lifestyles and includes the Dymatize®, Premier Protein®, Supreme Protein®, and Joint Juice® brands. Post, through its subsidiary Dakota Growers Pasta Company, produces more than 150 shapes of pasta products, and through its subsidiary Golden Boy Foods Ltd., manufactures peanut butter and other nut butters, dried fruits, and baking and snacking nuts.

Strategic Expansion through M&A
In early 2012, Post Holdings was spun-off by its former parent corporation, Ralcorp, Inc., and became a stand-alone NYSE listed public company. Since that time, Post has pursued a strategy of rapid diversification and growth through acquisition. We have assisted Post with the numerous acquisition transactions that it has completed since that time, with aggregate transaction values in the multi-billions. We have also assisted Post with many financing transactions associated with its acquisition strategy, raising billions of dollars of aggregate proceeds. These financing transactions have included public common stock offerings, private preferred stock offerings, bond offerings, and bank financings.
