We have handled loans, loan restructurings, and bond enhancement transactions by the bank affiliates of a superregional bank holding company that is among the 40 largest in the country as well as many other local and regional financial institutions. Our attorneys also serve as special and local counsel for national lending institutions and public bond issuers in connection with their financing transactions within our region.
Our attorneys provide counsel regarding draft loan agreements, notes, security agreements, mortgages and deeds of trust, bond documents, documentary and stand-by letters of credit and reimbursement agreements, various forms of assignment documents, warrant documents, legal opinions and other related transactional documents. Such transactions run a broad gamut; they include simple unsecured term loans to complicated leveraged buy-out and asset based financings with multiple parties and collateral and financings in which the lender takes an “equity kicker.”
In many states we are experienced in interpreting and applying the provisions of the Uniform Commercial Code regarding letters of credit and security interests, including mortgage laws. Our finance attorneys are also are experienced with consumer financing transactions and have drafted scores of consumer financing forms for our banking clients, including credit card agreements, direct and indirect chattel paper, security agreements and other related forms.
