The July 2014 issue of The Saint Louis Bar Journal has published an article by Lewis Rice member Aaron L. Pawlitz. The article, Real Estate Diligence in Merger and Acquisition Transactions, discusses productive and efficient approaches to conducting diligence regarding real estate assets in the context of a merger or acquisition transaction in which assets in addition to real estate assets are being conveyed.

Increased merger and acquisition activity brings with it a need for buyers' and sellers' counsel to be familiar with the best tactics for conducting and responding to diligence activities regarding real estate assets. Such diligence requires an ability to navigate local law, to manage the efforts of the various professionals who assist with such diligence (such as surveyors and title insurers), and to counsel clients regarding those real estate assets in the context of negotiating their purchase and sale agreements and for the purpose of successful operations after the closing of the transaction.
