Representative Matters
- Represent numerous distributors affiliated with the major supplier networks in connection with their general corporate, labor, financing and acquisition matters including their acquisition or disposition of additional territories, distributorships and brands in the following states: Arkansas, California, Colorado, Florida, Illinois, Indiana, Iowa, Kansas, Kentucky, Maine, Massachusetts, Minnesota, Mississippi, Missouri, Nebraska, New York, North Carolina, Pennsylvania, Ohio, Oregon, Virginia and Wisconsin.
- Represented a Missouri alcohol distributor, and worked closely with the Missouri Attorney General’s office, to uphold the constitutionality of Missouri’s three-tier alcohol distribution system from an attack from an out-of-state distributor
- Represented a Missouri alcohol distributor in breach of contract and other claims resulting from an alcohol producer's terminating the distribution relationship.
- Represent Major Brands, Inc., a Missouri statewide distributor of wine, spirits, beer and non-alcoholic beverages, in all distribution, brand transfer and acquisition, alcohol regulatory, labor, tax and litigation matters. We regularly advise Major Brands, Inc. in transactional matters relating to the negotiation of distribution agreements and the acquisition of distribution rights and distributorships, including its acquisition of Garco Wine Company, Missouri Beverage Company (MoBev) and the investment made by the Wirtz Family in Major Brands
- Represent TSG, LLC in its acquisition of the assets of The Winetasting Network (an online wine sales and distribution company) and its on-going operations of the business
- Represent Anheuser-Busch in certain transactional matters from time to time, including its acquisition of additional brands, distributorships and other malt beverage suppliers, including craft brewers such as Blue Point Brewing, Elysian Brewing, Karbach Brewing, Four Peaks Brewing, Spiked Seltzer, Platform Brewing and others
- Represent Six Row Brewing Company in matters including trademark, formation, capital raises, intellectual property, transactions, litigation, labor and employment
- Represent Old Bakery Brewing in trademark matters
- Represent Foley Family Wines, operating wineries in California, Oregon, Washington and New Zealand
- Represent American Winery (d/b/a Beverage Concepts), a contract bottler of soft drinks and wine-based products, in various issues including reorganization, transactions, regulation and litigation
- Represent G'Day Imports, LLC, an Australian vodka company whose brands include Cooranbong and Bombora, in general corporate matters
- Represent Bastard Brothers Brewing in regulatory matters
